Terms and Conditions of Sale and Service
These Terms and Conditions govern all purchases of goods and services from QCD Holdings Ltd T/A QCD Autocentre Brackley (“the Seller”). By placing an order through our website, in person, or by phone, you (“the Buyer”) agree to the following terms.
1. Definitions
(1.1) Seller: QCD Holdings Ltd T/A QCD Autocentre Brackley.
(1.2) Buyer: The individual or company contracting with the seller for goods and services.
(1.3) Contract: The agreement between the seller and the buyer.
(1.4) Goods and Services: The subject matter provided to the buyer by the seller, including automotive products, services, subscription plans, and QCD Gear Store merchandise.
(1.5) QCD Gear Store Merchandise: Custom-printed products supplied on demand by third-party fulfilment partners such as Printful.
(1.6) Affiliates: Subsidiaries and holding companies under the Companies Act 1985.
2. Contracts
(2.1) Every contract for goods and services by the seller incorporates these terms.
(2.2) No variation or addition to these terms is effective without the seller’s prior written agreement.
(2.3) These terms override any referred to by the buyer.
(2.4) Orders placed online are binding only once confirmed by email.
3. Prices
(3.1) All online prices include VAT unless otherwise stated.
(3.2) Prices may fluctuate, and any adjustments will reflect the seller’s costs at the time of delivery.
4. Payment Terms
(4.1) Payments are due upon completion of work or delivery of goods unless credit terms are agreed.
(4.2) Approved credit accounts must settle invoices by the end of the month following the invoice date.
(4.3) Interest on overdue payments will incur 3% per annum above the Barclays Bank base rate.
(4.4) Under no circumstances may invoices be part-paid or withheld due to disputes.
(4.5) Payment for QCD Gear Store merchandise is taken in full at the time of order as items are produced on demand.
5. Delivery of Service and Risk
(5.1) We endeavour to meet delivery/service dates but are not liable for delays.
(5.2) The buyer must inspect goods/services upon receipt or completion and notify the seller of any damage within 7 days.
(5.3) The seller reserves the right to inspect and rectify any sub-standard work.
(5.4) QCD Gear Store merchandise is fulfilled and shipped by third-party partners. Delivery times are estimates only, and the seller is not liable for delays caused by carriers or fulfilment partners.
6. Force Majeure
The seller is not liable for delays or failure to deliver goods/services due to events beyond its control, including but not limited to natural disasters, strikes, or supply chain disruptions.
7. Assignment and Subcontracting
(7.1) The buyer may not assign or dispose of contract rights without prior written consent from the seller.
(7.2) The seller may subcontract any obligations under the contract.
8. Events of Default and Termination
(8.1) The buyer is in default if they fail to pay or breach the contract.
(8.2) The seller may terminate or suspend services and seek full payment for any outstanding debts if the buyer becomes insolvent or fails to meet their contractual obligations.
9. Miscellaneous
(9.1) The seller’s rights are not waived by extending any concessions to the buyer.
(9.2) The seller’s rights under these conditions are in addition to other legal rights.
(9.3) If the buyer comprises two or more entities, their obligations are joint and several.
10. Intellectual Property
(10.1) The buyer has no rights to the intellectual property of the seller.
(10.2) All proprietary information, branding, designs, and samples remain the seller’s property and must be treated confidentially.
(10.3) QCD Gear Store merchandise is branded under licence. Purchasing merchandise does not transfer or grant rights to QCD intellectual property.
11. Indemnities
The buyer agrees to indemnify and hold harmless the seller against any liabilities, losses, or costs arising from a breach of these terms.
12. Severances
If any provision of these terms is deemed invalid, the remaining provisions will continue in full effect.
13. Notices
All notices must be in writing and sent to the buyer’s registered office or most recent address, including by email.
14. Guarantee/Warranty
(14.1) Work is guaranteed for 1 year for faulty or substandard work or products.
(14.2) The seller must be allowed to rectify any faults before external action is taken.
(14.3) Misuse or improper care, including exposure to chemicals, voids the warranty.
(14.4) QCD Gear Store merchandise is excluded from this warranty. Faulty, damaged, or incorrectly supplied items will be handled in accordance with the Returns & Refunds Policy.
15. Subscription Services
(15.1) QCD+ Premium Membership, QCD Service Plans, BrakeSure, and WarrantyAssist are offered on monthly or annual plans.
(15.2) Annual subscriptions renew automatically unless cancelled 30 days before renewal.
(15.3) Monthly plans require 6 months’ notice to cancel.
(15.4) Payments are non-refundable once services commence, unless cancelled within the statutory 14-day cooling-off period.
16. Products and Services Sold Online
(16.1) Order Confirmation: A confirmation email will be sent upon placing an order.
(16.2) Returns/Refunds: Non-merchandise goods may be returned within 14 days, with items unused and in original packaging. QCD Gear Store merchandise is custom-made and cannot be returned or exchanged unless defective, damaged, or incorrectly supplied.
(16.3) Delivery: Delivery times are estimates only. The seller is not liable for delays caused by third-party carriers or fulfilment partners.
17. MOT Testing
(17.1) Retests: Free retests are available within 10 working days of a failed MOT.
(17.2) Tests comply with DVSA regulations.
18. Warranty Assist
(18.1) Eligibility: Available for vehicles up to 15 years old or 150,000 miles.
(18.2) Claims must be processed through QCD Autocentre Brackley or an approved facility.
19. Offers and Promotions
(19.1) Offers are subject to change without notice.
(19.2) Offers cannot be transferred or combined unless explicitly stated.
20. Law and Jurisdiction
(20.1) These terms are governed by English law.
(20.2) Any disputes will be settled by the courts of England and Wales.
