Terms and Conditions of Sale and Service
These Terms and Conditions govern all sales of goods and services by QCD Holdings Ltd trading as QCD Autocentre Brackley (“QCD”, “we”, “us”, “our”). By placing an order, booking services, authorising repairs, purchasing subscriptions, or using our website or services, you (“the Customer”) agree to be bound by these Terms.
If you are a consumer, nothing in these Terms affects your statutory rights under UK law.
1. DEFINITIONS
1.1 QCD means QCD Holdings Ltd trading as QCD Autocentre Brackley.
1.2 Customer means any individual or business contracting with QCD.
1.3 Consumer means an individual acting for purposes wholly or mainly outside their trade, business, or profession.
1.4 Business Customer means a customer acting in the course of trade or business.
1.5 Contract means the agreement formed between QCD and the Customer.
1.6 Goods means parts, products, merchandise, or materials supplied.
1.7 Services means vehicle servicing, repair, MOT testing, diagnostics, subscriptions, memberships, warranties, or other services provided.
1.8 Green or Used Parts means recycled, refurbished, or previously used components.
1.9 Third Party Supplier means any external supplier, manufacturer, logistics provider, or fulfilment partner.
2. FORMATION OF CONTRACT
2.1 All Contracts incorporate these Terms to the exclusion of any other terms.
2.2 Orders placed in person, online, or by phone become binding once accepted or confirmed by QCD.
2.3 No variation to these Terms is effective unless agreed in writing by QCD.
2.4 Any estimates or quotations are valid for 30 days unless stated otherwise.
3. PRICES AND VAT
3.1 All prices are inclusive of VAT unless stated otherwise.
3.2 Prices may vary due to supplier costs, availability, or specification changes.
3.3 Any additional work required will be notified to the Customer and authorised before proceeding where reasonably practicable.
4. PAYMENT TERMS
4.1 Payment is due on completion of Services or delivery of Goods unless credit terms are agreed in writing.
4.2 Approved credit accounts must settle invoices by the end of the month following invoice date.
4.3 Interest on overdue amounts will accrue at 3 percent per annum above the Barclays Bank base rate.
4.4 QCD may require full or partial payment in advance for parts or Services.
4.5 Payment for custom or on demand merchandise is taken in full at the time of order.
4.6 Business Customers may not withhold or set off payment against disputes.
5. DELIVERY, PERFORMANCE, AND INSPECTION
5.1 All delivery or service completion dates are estimates only.
5.2 The Customer must inspect Goods and Services upon completion or delivery and notify QCD of any issues within 7 days.
5.3 QCD shall be entitled to inspect and rectify any alleged defects.
6. PART SUPPLY AND THIRD PARTY COMPONENTS
6.1 QCD may source parts from Third Party Suppliers, including new, green, refurbished, or used parts.
6.2 All lead times are estimates only and dependent on supplier availability and logistics.
6.3 Green or Used Parts may vary in condition and remaining service life.
6.4 Payment for parts may be required before ordering.
6.5 Once parts are ordered, QCD is not liable for supplier delays, failures, or non delivery.
6.6 QCD acts as an intermediary between the Customer and Third Party Suppliers.
6.7 Liability for parts is limited to repair or replacement under any applicable supplier warranty.
6.8 QCD may propose alternative compatible parts subject to Customer approval.
6.9 Refunds following cancellation will exclude costs incurred, including supplier payments, dismantling, and workshop time.
7. VEHICLE CUSTODY, STORAGE, AND LIEN
7.1 Vehicles are held at the Customer’s risk except where loss or damage is caused by QCD’s negligence.
7.2 QCD is not responsible for items left inside vehicles unless expressly agreed in writing.
7.3 Storage charges may apply to vehicles not collected within 48 hours of notification.
7.4 QCD reserves a lien over vehicles for unpaid charges and may retain the vehicle until payment is made.
7.5 Abandoned vehicles may be disposed of in accordance with applicable law.
8. WARRANTIES AND GUARANTEES
8.1 Workmanship is guaranteed for 12 months for faulty workmanship or defective supplied parts.
8.2 QCD must be given the opportunity to rectify defects before external repairs are undertaken.
8.3 The warranty does not apply to misuse, wear and tear, accidental damage, or chemical exposure.
8.4 Green or Used Parts are subject only to supplier warranties where applicable.
8.5 Merchandise supplied on demand is excluded from this warranty and subject to the Returns Policy.
9. SUBSCRIPTIONS AND MEMBERSHIPS
9.1 QCD+ Premium Membership, QCD Service Plans, BrakeSure, and WarrantyAssist may be offered on monthly or annual terms.
9.2 Annual subscriptions renew automatically unless cancelled at least 30 days before renewal.
9.3 Monthly subscriptions require a minimum six month commitment unless stated otherwise.
9.4 Payments are non refundable once Services commence, subject to statutory cooling off rights.
9.5 Consumers may cancel within 14 days of purchase unless Services have begun with express consent.
10. ONLINE SALES AND MERCHANDISE
10.1 Order confirmations will be issued by email.
10.2 Non customised Goods may be returned within 14 days unused and in original packaging.
10.3 Custom printed merchandise cannot be returned unless defective or incorrectly supplied.
10.4 Delivery times are estimates only and delays caused by Third Party Suppliers are not the responsibility of QCD.
11. MOT TESTING
11.1 MOT testing is carried out in accordance with DVSA regulations.
11.2 Free retests are available within 10 working days subject to DVSA rules.
12. WARRANTY ASSIST
12.1 WarrantyAssist is available for eligible vehicles only.
12.2 Claims must be processed through QCD or an approved repairer.
12.3 Coverage is subject to policy terms provided at the time of purchase.
13. OFFERS AND PROMOTIONS
13.1 All promotions are subject to availability and may be withdrawn at any time.
13.2 Offers cannot be combined unless stated otherwise.
14. INTELLECTUAL PROPERTY
14.1 All intellectual property rights remain the property of QCD or its licensors.
14.2 No rights are transferred to the Customer by sale of Goods or Services.
14.3 Merchandise branding is licensed only and does not convey IP rights.
15. DATA PROTECTION
15.1 QCD processes personal data in accordance with UK GDPR and its Privacy Policy.
15.2 Customer data is used for service delivery, compliance, and communication.
16. LIMITATION OF LIABILITY
16.1 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
16.2 Subject to clause 16.1, QCD’s total liability is limited to the value of the invoice for the relevant Goods or Services.
16.3 QCD is not liable for indirect or consequential loss, loss of use, loss of earnings, or business interruption.
16.4 Business Customers accept these limitations as reasonable.
17. INDEMNITY
17.1 Business Customers shall indemnify QCD against losses arising from breach of these Terms or misuse of Goods or Services.
18. FORCE MAJEURE
18.1 QCD is not liable for failure or delay caused by events beyond reasonable control.
19. TERMINATION AND DEFAULT
19.1 QCD may suspend or terminate Services for non payment or breach.
19.2 Outstanding charges become immediately payable upon termination.
20. ASSIGNMENT AND SUBCONTRACTING
20.1 Customers may not assign rights without QCD’s consent.
20.2 QCD may subcontract Services.
21. SEVERABILITY
21.1 If any provision is held invalid, the remaining provisions remain in effect.
22. NOTICES
22.1 Notices may be served by post or email to the last known address.
23. GOVERNING LAW AND JURISDICTION
23.1 These Terms are governed by English law.
23.2 The courts of England and Wales have exclusive jurisdiction.
